Terms of Use

Please read these Terms of Use (“Terms”) carefully before using any mobile application operated by Southeast Adventures LLC (“we,” “us,” or “our”). These Terms apply to all of our mobile applications, including but not limited to Michi, Marizz, Memrays, NaniNavi, FamFind and any other apps we may release in the future (collectively, the “Apps”).

By accessing or using any of our Apps, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Apps.

1. Acceptance of Terms

By using the Apps, you accept and agree to be bound by these Terms, including any additional terms, policies, or guidelines incorporated by reference. We may modify or update these Terms at any time. Changes take effect immediately upon posting within the Apps or on our website. It is your responsibility to review the Terms periodically.

2. Eligibility

You must be at least 13 years old to use the Apps. By using the Apps, you represent and warrant that you are at least 13 years of age or that you have legal authority to enter into these Terms.

3. Account Registration

Some features within the Apps may require creating an account. You agree to provide accurate, current, and complete information and to update such information as needed. You are responsible for maintaining the confidentiality of your login credentials and for all activity occurring under your account.

4. License Grant

We grant you a limited, non-exclusive, non-transferable license to download, install, and use the Apps on your personal mobile device solely for personal, non-commercial use, subject to these Terms.

You may not:

• Reverse engineer, decompile, or attempt to extract source code (except where required by law)
• Copy, modify, or create derivative works based on the Apps
• Rent, lease, sublicense, or distribute the Apps

5. User Conduct

You agree not to:

• Violate any applicable law or regulation
• Interfere with, disrupt, or impair the functioning of the Apps
• Use the Apps for any unlawful, harmful, fraudulent, or malicious activity
• Attempt to gain unauthorized access to data or systems
• Infringe on any intellectual property or other rights of third parties

6. Privacy

Your use of the Apps is also governed by our Privacy Policy, available on our website. By using the Apps, you consent to the collection, use, and disclosure of your information as described in the Privacy Policy.

7. Third-Party Links and Content

The Apps may include links to third-party websites, services, or resources. We are not responsible for the availability, accuracy, or content of such third-party resources, and accessing them is at your own risk.

8. Termination

We may suspend or terminate your access to any or all of the Apps at any time, without notice, for any reason, including violation of these Terms. Upon termination, your right to use the Apps ceases immediately, and you must uninstall all affected Apps from your device.

9. Disclaimers

The Apps are provided “as is” and “as available” without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee that the Apps will be error-free, uninterrupted, or meet your expectations.

10. Limitation of Liability

To the fullest extent permitted by law, Southeast Adventures LLC is not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or use, arising from your use of—or inability to use—the Apps.

11. Indemnification

You agree to indemnify, defend, and hold harmless Southeast Adventures LLC, its officers, directors, employees, affiliates, and agents from any claims, damages, liabilities, or expenses (including attorneys’ fees) arising out of your use of the Apps, your violation of these Terms, or your violation of any rights of third parties.

12. Governing Law

These Terms are governed by the laws of the State of Utah, USA, without regard to conflict-of-law principles. Any disputes arising from these Terms shall be resolved exclusively in the courts located in Utah.

13. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

14. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices or guidelines posted within the Apps or on our website, constitute the entire agreement between you and us regarding use of the Apps.
